1. Vay tiền bằng hợp đồng chuyển nhượng đất có hợp pháp không?
Theo quy định của Bộ luật Dân sự năm 2015, hợp đồng vay tài sản là một trong những căn cứ làm phát sinh nghĩa vụ dân sự. Cụ thể, khoản 1 Điều 275 Bộ luật Dân sự 2015 xác định các căn cứ làm phát sinh nghĩa vụ, trong đó có hợp đồng.
Như vậy, kể từ thời điểm hợp đồng vay được giao kết hợp pháp, bên vay có nghĩa vụ trả nợ cho bên cho vay theo đúng nội dung, điều kiện và thời hạn đã thỏa thuận trong hợp đồng.
Về nội dung và phạm vi nghĩa vụ trả nợ, Điều 466 Bộ luật Dân sự 2015 quy định rõ:
“Điều 466. Nghĩa vụ trả nợ của bên vay
1. Bên vay tài sản là tiền thì phải trả đủ tiền khi đến hạn; nếu tài sản là vật thì phải trả vật cùng loại đúng số lượng, chất lượng, trừ trường hợp có thỏa thuận khác.
2. Trường hợp bên vay không thể trả vật thì có thể trả bằng tiền theo trị giá của vật đã vay tại địa điểm và thời điểm trả nợ, nếu được bên cho vay đồng ý.
3. Địa điểm trả nợ là nơi cư trú hoặc nơi đặt trụ sở của bên cho vay, trừ trường hợp có thỏa thuận khác.
4. Trường hợp vay không có lãi mà khi đến hạn bên vay không trả nợ hoặc trả không đầy đủ thì bên cho vay có quyền yêu cầu trả tiền lãi với mức lãi suất theo quy định tại khoản 2 Điều 468 của Bộ luật này trên số tiền chậm trả tương ứng với thời gian chậm trả, trừ trường hợp có thỏa thuận khác hoặc luật có quy định khác.
5. Trường hợp vay có lãi mà khi đến hạn bên vay không trả hoặc trả không đầy đủ thì bên vay phải trả lãi như sau:
a) Lãi trên nợ gốc theo lãi suất thỏa thuận trong hợp đồng tương ứng với thời hạn vay mà đến hạn chưa trả; trường hợp chậm trả thì còn phải trả lãi theo mức lãi suất quy định tại khoản 2 Điều 468 của Bộ luật này;
b) Lãi trên nợ gốc quá hạn chưa trả bằng 150% lãi suất vay theo hợp đồng tương ứng với thời gian chậm trả, trừ trường hợp có thỏa thuận khác.”
Theo đó, nếu tài sản vay là tiền thì bên vay phải trả đủ số tiền khi đến hạn; nếu tài sản vay là vật thì phải hoàn trả vật cùng loại, đúng số lượng, chất lượng, trừ trường hợp các bên có thỏa thuận khác. Trường hợp bên vay không thể trả vật thì có thể trả bằng tiền theo trị giá của vật tại địa điểm và thời điểm trả nợ, nếu được bên cho vay đồng ý. Địa điểm trả nợ là nơi cư trú hoặc nơi đặt trụ sở của bên cho vay, trừ trường hợp có thỏa thuận khác.
Ngoài ra, pháp luật cũng quy định rõ trách nhiệm trả lãi trong trường hợp chậm thực hiện nghĩa vụ trả nợ. Nếu khoản vay không có lãi nhưng đến hạn bên vay không trả hoặc trả không đầy đủ thì bên cho vay có quyền yêu cầu trả lãi đối với số tiền chậm trả theo mức lãi suất quy định tại khoản 2 Điều 468 Bộ luật Dân sự 2015, trừ trường hợp có thỏa thuận khác hoặc luật có quy định khác.
Tuy nhiên, Bộ luật Dân sự 2015 thừa nhận nguyên tắc tự do, tự nguyện cam kết, thỏa thuận trong giao dịch dân sự, miễn là không vi phạm điều cấm của luật, không trái đạo đức xã hội. Theo đó, cho phép các bên trong quan hệ vay mượn linh hoạt lựa chọn phương thức thực hiện nghĩa vụ, không bị bó buộc cứng nhắc vào việc chỉ được trả nợ bằng tiền trong mọi trường hợp.
Trong trường hợp bên vay không thể hoặc không mong muốn thực hiện nghĩa vụ trả nợ bằng tiền, pháp luật cho phép các bên thỏa thuận việc thực hiện nghĩa vụ bằng một nghĩa vụ khác, nếu được bên có quyền chấp nhận. Điều 286 Bộ luật Dân sự 2015 quy định về thực hiện nghĩa vụ thay thế, cụ thể:
Như vậy, nếu bên vay và bên cho vay tự nguyện thỏa thuận rằng thay vì trả tiền vay, bên vay sẽ chuyển nhượng QSDĐ cho bên cho vay để cấn trừ hoặc thanh toán nghĩa vụ trả nợ, thì về nguyên tắc, pháp luật không cấm.
Như vậy, trong trường hợp bên vay và bên cho vay tự nguyện thỏa thuận rằng thay vì trả tiền vay, bên vay sẽ chuyển nhượng quyền sử dụng đất cho bên cho vay để cấn trừ hoặc thanh toán nghĩa vụ trả nợ, thì về nguyên tắc, pháp luật không cấm. Khi đó, hợp đồng chuyển nhượng QSDĐ không phải là một giao dịch mua bán đất độc lập, mà là phương thức thực hiện nghĩa vụ trả nợ phát sinh từ hợp đồng vay đã được xác lập trước đó.
2. Khi nào chuyển nhượng QSDĐ để trả nợ bị vô hiệu?
2.1. Chuyển nhượng QSDĐ để trả nợ
Đây là trường hợp nghĩa vụ trả nợ bằng tiền được chấm dứt và được thay thế bằng nghĩa vụ chuyển nhượng QSDĐ. Việc chuyển nhượng đất nhằm mục đích thanh toán nợ, không còn tồn tại nghĩa vụ trả nợ bằng tiền sau khi chuyển nhượng hoàn tất.
2.2. Chuyển nhượng QSDĐ giả tạo để bảo đảm nghĩa vụ vay
Khác với trường hợp chuyển nhượng QSDĐ để thực hiện nghĩa vụ trả nợ, giao dịch chuyển nhượng QSDĐ để bảo đảm nghĩa vụ trả nợ thực chất là một hình thức bảo đảm nghĩa vụ dân sự trá hình, trong đó QSDĐ được chuyển nhượng sang bên cho vay nhưng chỉ nhằm mục đích bảo đảm nghĩa vụ trả nợ.
Về bản chất pháp lý, đây là trường hợp giao dịch dân sự được xác lập một cách giả tạo nhằm che giấu giao dịch dân sự khác, thuộc trường hợp quy định tại khoản 1 Điều 124 Bộ luật Dân sự 2015:
Trong các trường hợp này, mặc dù trên hình thức pháp lý các bên ký kết hợp đồng chuyển nhượng QSDĐ, thậm chí hợp đồng được công chứng và đăng ký sang tên theo đúng thủ tục, nhưng bản chất thực sự của giao dịch không phải là mua bán hay chuyển nhượng đất, mà vẫn là quan hệ vay tiền. Hợp đồng chuyển nhượng QSDĐ chỉ đóng vai trò là “vỏ bọc” pháp lý nhằm bảo đảm cho khoản vay. Thông thường, giữa các bên còn tồn tại thỏa thuận ngầm rằng nếu bên vay trả đủ nợ thì bên cho vay sẽ chuyển trả lại đất.
Trong trường hợp đó, hợp đồng chuyển nhượng QSDĐ có thể bị Tòa án tuyên vô hiệu do giả tạo, còn giao dịch vay tiền bị che giấu vẫn có hiệu lực, trừ trường hợp giao dịch vay đó cũng vô hiệu theo quy định của pháp luật. Khi hợp đồng chuyển nhượng bị tuyên vô hiệu, các bên phải khôi phục lại tình trạng ban đầu và hoàn trả cho nhau những gì đã nhận.
Tuy nhiên, cần lưu ý rằng trên thực tế, việc tuyên hợp đồng chuyển nhượng QSDĐ vô hiệu do giả tạo không hề đơn giản. Khó khăn lớn nhất nằm ở nghĩa vụ chứng minh. Bên vay phải chứng minh được rằng hợp đồng chuyển nhượng chỉ là hình thức che giấu, trong khi hợp đồng đã được công chứng, thể hiện rõ ý chí chuyển nhượng và đã hoàn tất thủ tục đăng ký đất đai. Nếu không có chứng cứ rõ ràng, thuyết phục, khả năng bảo vệ quyền lợi của bên vay là rất hạn chế.
Tóm lại, chuyển nhượng QSDĐ để trả nợ bị vô hiệu khi giao dịch này không phản ánh đúng ý chí thực sự của các bên, mà được xác lập nhằm che giấu quan hệ vay tiền. Để tránh rủi ro pháp lý, trong quan hệ vay mượn, các bên cần lựa chọn đúng loại giao dịch: vay tiền thì lập hợp đồng vay tài sản; dùng QSDĐ để bảo đảm khoản vay thì phải ký hợp đồng thế chấp theo đúng quy định pháp luật. Việc “mượn hình thức chuyển nhượng để vay tiền” tiềm ẩn nguy cơ rất lớn bị coi là giao dịch giả tạo và dẫn đến hậu quả mất quyền sử dụng đất khó có thể khắc phục.

1. Is borrowing money under a land use right transfer contract lawful?
Pursuant to the provisions of the 2015 Civil Code, a loan contract is one of the legal grounds giving rise to civil obligations. Specifically, Clause 1 Article 275 of the 2015 Civil Code identifies contracts as a basis for the establishment of civil obligations.
Accordingly, from the time a loan contract is lawfully concluded, the borrower is obligated to repay the debt to the lender in accordance with the terms, conditions, and time limit agreed upon in the contract.
With respect to the content and scope of the repayment obligation, Article 466 of the 2015 Civil Code provides:
- Where the borrowed property is money, the borrower must fully repay the principal when due; where the borrowed property is a thing, the borrower must return a thing of the same type, quantity, and quality, unless otherwise agreed.
- Where the borrower is unable to return the borrowed thing, repayment may be made in money equivalent to the value of the borrowed property at the place and time of repayment, subject to the lender’s consent.
- The place of repayment shall be the borrower’s residence or head office, unless otherwise agreed.
- In the case of a non-interest-bearing loan, if the borrower fails to repay or repays incompletely upon maturity, the lender has the right to claim interest on the overdue amount at the interest rate prescribed in Clause 2 Article 468 of this Code, unless otherwise agreed or provided by law.

Accordingly, where the borrower and lender voluntarily agree that, instead of repaying the loan in money, the borrower will transfer land use rights to the lender to offset or settle the repayment obligation, such an agreement is not prohibited by law in principle.
In this case, the land use right transfer contract does not constitute an independent land sale transaction but rather a method of performing the repayment obligation arising from the previously established loan contract.
2. When is a transfer of land use rights for debt repayment invalid?
2.1. Transfer of land use rights for debt repayment
This is the case where the obligation to repay the debt in money is terminated and replaced by an obligation to transfer land use rights. The purpose of the land transfer is to settle the debt, and upon completion of the transfer, no monetary repayment obligation remains.
2.2. Sham transfer of land use rights to secure a loan obligation
Unlike a genuine transfer of land use rights for debt repayment, a transfer of land use rights intended to secure a loan obligation is, in substance, a disguised form of civil obligation security. In this arrangement, land use rights are transferred to the lender solely for the purpose of securing repayment.
From a legal perspective, this constitutes a sham civil transaction established to conceal another civil transaction, as prescribed in Clause 1 Article 124 of the 2015 Civil Code:

Where parties establish a civil transaction in a sham manner in order to conceal another civil transaction, the sham transaction shall be invalid, while the concealed transaction shall remain valid, unless such concealed transaction is also invalid under this Code or other relevant laws.
In such cases, although the parties formally enter into a land use right transfer contract—sometimes even having it notarized and duly registered in accordance with legal procedures—the true nature of the transaction is not a land sale or transfer, but rather a loan relationship. The land use right transfer contract merely serves as a legal “cover” to secure the loan. In practice, there is often an implicit agreement that once the borrower fully repays the debt, the lender will re-transfer the land.
In such circumstances, the land use right transfer contract may be declared invalid by a court as a sham transaction, while the concealed loan transaction remains effective, unless it is also invalid under the law. When the transfer contract is declared invalid, the parties must restore the original status quo and return to each other what they have received.
It should be noted, however, that in practice, declaring a land use right transfer contract invalid due to sham is far from straightforward. The greatest difficulty lies in the burden of proof. The borrower must prove that the transfer contract was merely a disguise, despite the fact that the contract was notarized, clearly expressed the intention to transfer, and that land registration procedures were properly completed. Without clear and convincing evidence, the borrower’s ability to protect their rights is extremely limited.
In conclusion, a transfer of land use rights for debt repayment is deemed invalid where it does not reflect the true intention of the parties but is established to conceal a loan relationship. To avoid legal risks, parties to a loan relationship should select the appropriate type of civil transaction: a loan should be documented by a loan contract, and land use rights used as security should be governed by a land mortgage contract in accordance with the law. Using a land transfer contract as a substitute for borrowing money entails a high risk of being regarded as a sham transaction and may lead to irreversible consequences, including the loss of land use rights.
