1. UBND cấp xã có quyền chuyển nhượng đất Nhà nước giao không?

Quyền chuyển nhượng quyền sử dụng đất là một trong những quyền quan trọng của người sử dụng đất. Tuy nhiên, không phải mọi chủ thể được Nhà nước giao đất đều được thực hiện quyền này.

Căn cứ Điều 118 Luật Đất đai 2024 quy định các trường hợp giao đất không thu tiền sử dụng đất:

Điều 118. Giao đất không thu tiền sử dụng đất
1. Cá nhân trực tiếp sản xuất nông nghiệp được giao đất nông nghiệp trong hạn mức quy định tại Điều 176 của Luật này.
2. Đất xây dựng trụ sở cơ quan Đảng Cộng sản Việt Nam, cơ quan nhà nước, Mặt trận Tổ quốc Việt Nam, tổ chức chính trị – xã hội; tổ chức chính trị xã hội – nghề nghiệp, tổ chức xã hội – nghề nghiệp, tổ chức xã hội, tổ chức khác được thành lập theo quy định của pháp luật và được Nhà nước giao nhiệm vụ, hỗ trợ kinh phí hoạt động thường xuyên; đất quốc phòng, an ninh; đất sử dụng vào mục đích công cộng không nhằm mục đích kinh doanh; đất nghĩa trang, nhà tang lễ, cơ sở hỏa táng, đất cơ sở lưu giữ tro cốt không thuộc trường hợp quy định tại khoản 2 Điều 119 của Luật này; đất tín ngưỡng để bồi thường cho trường hợp Nhà nước thu hồi đất tín ngưỡng.
3. Người sử dụng đất rừng đặc dụng, đất rừng phòng hộ, đất rừng sản xuất.
4. Đơn vị sự nghiệp công lập sử dụng đất xây dựng công trình sự nghiệp.
5. Cộng đồng dân cư sử dụng đất nông nghiệp; tổ chức tôn giáo, tổ chức tôn giáo trực thuộc sử dụng đất quy định tại khoản 2 Điều 213 của Luật này.
6. Cơ quan, tổ chức sử dụng đất để thực hiện dự án đầu tư xây dựng nhà ở công vụ theo quy định của pháp luật về nhà ở.
7. Đồng bào dân tộc thiểu số không phải là cá nhân trực tiếp sản xuất nông nghiệp nhưng thuộc đối tượng giao đất không thu tiền sử dụng đất theo chính sách quy định tại Điều 16 của Luật này.
8. Tổ chức sử dụng đất để xây dựng nhà ở phục vụ tái định cư theo dự án của Nhà nước.
9. Việc giao đất quy định tại Điều này được thực hiện theo quy định tại Điều 124 của Luật này.”

Như vậy, đất xây dựng trụ sở cơ quan nhà nước, trong đó có trụ sở của UBND cấp xã, là trường hợp được Nhà nước giao đất không thu tiền sử dụng đất để phục vụ hoạt động quản lý nhà nước. Việc giao đất trong trường hợp này nhằm bảo đảm thực hiện chức năng, nhiệm vụ công vụ chứ không nhằm mục đích kinh doanh hoặc khai thác lợi ích thương mại.

Do đó, mặc dù được Nhà nước giao đất để sử dụng, UBND cấp xã không phải là chủ thể có đầy đủ các quyền của người sử dụng đất như hộ gia đình, cá nhân hoặc tổ chức được giao đất trong một số trường hợp khác. UBND cấp xã chỉ có trách nhiệm quản lý và sử dụng đất đúng mục đích được giao, không có quyền tự ý chuyển nhượng quyền sử dụng đất đối với diện tích đất được Nhà nước giao để xây dựng trụ sở hoặc phục vụ hoạt động quản lý nhà nước.

Liên quan đến quyền của tổ chức được Nhà nước giao đất không thu tiền sử dụng đất, Điều 32 Luật Đất đai 2024 quy định:

Điều 32. Quyền và nghĩa vụ của tổ chức trong nước, tổ chức tôn giáo, tổ chức tôn giáo trực thuộc được Nhà nước giao đất không thu tiền sử dụng đất
1. Tổ chức trong nước, tổ chức tôn giáo, tổ chức tôn giáo trực thuộc được Nhà nước giao đất không thu tiền sử dụng đất có quyền và nghĩa vụ chung quy định tại Điều 26 và Điều 31 của Luật này.
2. Tổ chức trong nước, tổ chức tôn giáo, tổ chức tôn giáo trực thuộc được Nhà nước giao đất không thu tiền sử dụng đất không có quyền chuyển đổi, chuyển nhượng, tặng cho, cho thuê quyền sử dụng đất, thế chấp, góp vốn bằng quyền sử dụng đất.”

Theo đó, tổ chức được Nhà nước giao đất không thu tiền sử dụng đất không có quyền chuyển nhượng, tặng cho, cho thuê, thế chấp hoặc góp vốn bằng quyền sử dụng đất. Đối với phần đất được Nhà nước giao cho UBND cấp xã để xây dựng trụ sở hoặc phục vụ hoạt động quản lý nhà nước, UBND cấp xã chỉ có quyền quản lý và sử dụng đất đúng mục đích được giao nhằm thực hiện nhiệm vụ công.

Trên thực tế, quá trình sắp xếp đơn vị hành chính hoặc tinh gọn bộ máy nhà nước có thể dẫn đến việc một số trụ sở làm việc, công trình công hoặc quỹ đất do UBND cấp xã quản lý không còn nhu cầu sử dụng. Tuy nhiên, việc không còn nhu cầu sử dụng không đồng nghĩa với việc UBND cấp xã được quyền tự quyết định chuyển nhượng hoặc bán các khu đất này.

Trong trường hợp đất công dôi dư, UBND cấp xã có trách nhiệm quản lý, bảo vệ tài sản và báo cáo cơ quan nhà nước có thẩm quyền để xem xét phương án xử lý theo quy định. Việc xử lý quyền sử dụng đất và tài sản công gắn liền với đất phải tuân thủ các quy định của pháp luật về đất đai và pháp luật về quản lý, sử dụng tài sản công. Căn cứ vào từng trường hợp cụ thể, cơ quan có thẩm quyền có thể quyết định thu hồi đất, điều chuyển cho cơ quan khác quản lý, sử dụng, chuyển mục đích sử dụng đất theo quy hoạch hoặc áp dụng các hình thức xử lý khác theo đúng trình tự, thủ tục luật định.

2. Hậu quả pháp lý khi chuyển nhượng đất công trái quy định là gì?

Việc chuyển nhượng đất công chỉ được thực hiện trong những trường hợp pháp luật cho phép và phải tuân thủ đúng trình tự, thủ tục theo quy định. Nếu cá nhân, tổ chức hoặc cơ quan quản lý đất tự ý chuyển nhượng đất công trái quy định thì giao dịch chuyển nhượng có thể bị tuyên vô hiệu do vi phạm điều cấm của pháp luật theo Điều 123 Bộ luật Dân sự năm 2015.

Điều 123. Giao dịch dân sự vô hiệu do vi phạm điều cấm của luật, trái đạo đức xã hội
Giao dịch dân sự có mục đích, nội dung vi phạm điều cấm của luật, trái đạo đức xã hội thì vô hiệu.
Điều cấm của luật là những quy định của luật không cho phép chủ thể thực hiện những hành vi nhất định.
Đạo đức xã hội là những chuẩn mực ứng xử chung trong đời sống xã hội, được cộng đồng thừa nhận và tôn trọng.”

Khi giao dịch bị vô hiệu, quyền và nghĩa vụ của các bên sẽ được xử lý theo quy định tại Điều 131 Bộ luật Dân sự năm 2015 như sau:

Điều 131. Hậu quả pháp lý của giao dịch dân sự vô hiệu
1. Giao dịch dân sự vô hiệu không làm phát sinh, thay đổi, chấm dứt quyền, nghĩa vụ dân sự của các bên kể từ thời điểm giao dịch được xác lập.
2. Khi giao dịch dân sự vô hiệu thì các bên khôi phục lại tình trạng ban đầu, hoàn trả cho nhau những gì đã nhận.
Trường hợp không thể hoàn trả được bằng hiện vật thì trị giá thành tiền để hoàn trả.
3. Bên ngay tình trong việc thu hoa lợi, lợi tức không phải hoàn trả lại hoa lợi, lợi tức đó.
4. Bên có lỗi gây thiệt hại thì phải bồi thường.
5. Việc giải quyết hậu quả của giao dịch dân sự vô hiệu liên quan đến quyền nhân thân do Bộ luật này, luật khác có liên quan quy định.”

Như vậy, trường hợp chuyển nhượng đất công trái quy định của pháp luật thì giao dịch này có thể bị tuyên vô hiệu do vi phạm điều cấm của luật. Khi đó, giao dịch không làm phát sinh quyền và nghĩa vụ của các bên kể từ thời điểm xác lập; các bên phải hoàn trả cho nhau những gì đã nhận, khôi phục tình trạng ban đầu và bên có lỗi gây thiệt hại phải bồi thường theo quy định của pháp luật.

Ngoài việc giao dịch bị vô hiệu, người có hành vi tự ý chuyển nhượng đất công còn có thể bị xử lý kỷ luật, xử phạt vi phạm hành chính hoặc bị truy cứu trách nhiệm hình sự nếu hành vi gây thiệt hại nghiêm trọng cho tài sản nhà nước hoặc có dấu hiệu của tội phạm theo quy định của pháp luật.

1. Does a Commune-Level People’s Committee Have the Authority to Transfer Land Allocated by the State?

The right to transfer land use rights is one of the fundamental rights of land users under Vietnamese law. However, not every entity that is allocated land by the State is entitled to exercise this right.

Pursuant to Article 118 of the 2024 Land Law, the following cases are eligible for land allocation without payment of land use levy:

“Article 118. Allocation of Land Without Collection of Land Use Levy
  1. Individuals directly engaged in agricultural production shall be allocated agricultural land within the quota prescribed in Article 176 of this Law.
  2. Land used for the construction of headquarters of the Communist Party of Vietnam, state agencies, the Vietnam Fatherland Front, socio-political organizations, socio-political-professional organizations, social-professional organizations, social organizations, and other organizations established in accordance with law and assigned tasks or provided with regular operational funding by the State; land used for national defense and security purposes; land used for public purposes not intended for business activities; cemeteries, funeral homes, cremation facilities, and ash storage facilities not falling within the cases prescribed in Clause 2 Article 119 of this Law; and religious land allocated as compensation when the State recovers religious land.
  3. Users of special-use forests, protection forests, and production forests.
  4. Public non-business units using land for the construction of public service facilities.
  5. Residential communities using agricultural land; religious organizations and affiliated religious organizations using land prescribed in Clause 2 Article 213 of this Law.
  6. Agencies and organizations using land for investment projects involving the construction of official residences in accordance with housing laws.
  7. Ethnic minority people who are not directly engaged in agricultural production but are entitled to land allocation without payment of land use levy under the policies prescribed in Article 16 of this Law.
  8. Organizations using land for the construction of housing serving State resettlement projects.
  9. Land allocation prescribed in this Article shall be carried out in accordance with Article 124 of this Law.”

Accordingly, land used for the construction of state agency headquarters, including the headquarters of commune-level People’s Committees, falls within the category of land allocated by the State without collection of land use levy for the purpose of serving state management activities. Such land allocation is intended to facilitate the performance of public duties and governmental functions rather than commercial activities or profit-making purposes.

Therefore, although a commune-level People’s Committee is allocated land by the State for use, it is not regarded as an entity enjoying the full range of rights available to land users such as households, individuals, or organizations in certain other circumstances. Instead, the commune-level People’s Committee is only responsible for managing and using the land for the purposes for which it was allocated. It does not have the authority to independently transfer land use rights over land allocated by the State for the construction of its headquarters or for other state management activities.

With respect to the rights of organizations allocated land without payment of land use levy, Article 32 of the 2024 Land Law provides:

“Article 32. Rights and Obligations of Domestic Organizations, Religious Organizations, and Affiliated Religious Organizations Allocated Land by the State Without Collection of Land Use Levy
  1. Domestic organizations, religious organizations, and affiliated religious organizations allocated land by the State without collection of land use levy shall have the general rights and obligations prescribed in Articles 26 and 31 of this Law.
  2. Domestic organizations, religious organizations, and affiliated religious organizations allocated land by the State without collection of land use levy shall not have the right to exchange, transfer, donate, lease land use rights, mortgage land use rights, or contribute capital using land use rights.”
Accordingly, organizations allocated land by the State without payment of land use levy do not have the right to transfer, donate, lease, mortgage, or contribute capital using land use rights. For land allocated to a commune-level People’s Committee for the construction of headquarters or for state management activities, the People’s Committee only has the authority to manage and use the land in accordance with the allocated purpose in order to perform public duties.

In practice, the restructuring of administrative units or the streamlining of the state apparatus may result in certain office buildings, public facilities, or land funds managed by commune-level People’s Committees becoming redundant or no longer necessary for use. However, the absence of a need for continued use does not mean that the commune-level People’s Committee may independently decide to transfer, sell, or otherwise dispose of such land.

Where public land becomes surplus to requirements, the commune-level People’s Committee is responsible for managing and safeguarding the property and reporting the matter to competent state authorities for consideration of an appropriate handling plan in accordance with legal regulations. The handling of land use rights and public assets attached to land must comply with both land legislation and the laws governing the management and use of public assets. Depending on the specific circumstances, competent authorities may decide to recover the land, reassign it to another agency for management and use, change the land use purpose in accordance with planning schemes, or apply other legally prescribed measures following the proper procedures.

2. What Are the Legal Consequences of Unlawfully Transferring Public Land?

The transfer of public land may only be carried out in circumstances expressly permitted by law and must comply with all prescribed procedures and formalities. If an individual, organization, or authority responsible for land management arbitrarily transfers public land in violation of legal regulations, the transfer transaction may be declared invalid due to its violation of statutory prohibitions pursuant to Article 123 of the 2015 Civil Code.

“Article 123. Invalid Civil Transactions Due to Violation of Legal Prohibitions or Social Ethics
A civil transaction whose purpose or content violates legal prohibitions or social ethics shall be invalid.
Legal prohibitions are provisions of law that do not permit subjects to perform certain acts.
Social ethics are common standards of conduct in social life that are recognized and respected by the community.”

Once a transaction is declared invalid, the rights and obligations of the parties shall be handled in accordance with Article 131 of the 2015 Civil Code, which provides:

“Article 131. Legal Consequences of Invalid Civil Transactions
  1. An invalid civil transaction does not create, alter, or terminate the civil rights and obligations of the parties from the time the transaction was established.
  2. When a civil transaction is invalid, the parties shall restore the original condition and return to each other what they have received.
Where restitution in kind is impossible, compensation shall be made in money equivalent to the value of the property.
  1. A bona fide party that has collected fruits or profits from the property is not required to return such fruits or profits.
  2. A party at fault causing damage shall compensate for such damage.
  3. The settlement of consequences arising from invalid civil transactions relating to personal rights shall be governed by this Code and other relevant laws.”

Accordingly, where public land is transferred in violation of legal regulations, the transaction may be declared invalid because it violates legal prohibitions. In such circumstances, the transaction does not create any legal rights or obligations for the parties from the moment it was entered into. The parties must return to each other everything they have received, restore the original status of the property, and any party whose fault causes damage must compensate for such damage in accordance with the law.

In addition to the invalidity of the transaction itself, individuals who arbitrarily transfer public land may also be subject to disciplinary measures, administrative penalties, or even criminal prosecution if their conduct causes serious damage to State property or exhibits elements of a criminal offense under applicable laws.

In conclusion, a commune-level People’s Committee does not have the authority to transfer land allocated by the State for public administration purposes. Such land is allocated for the performance of governmental functions and is not intended for commercial transactions. Any unauthorized transfer of public land may result in the transaction being declared invalid, requiring the restoration of the original status quo, restitution of received benefits, compensation for damages, and potentially the imposition of administrative, disciplinary, or criminal liability on the persons involved. Therefore, all matters concerning public land must be handled strictly in accordance with the Land Law and other relevant legal regulations to ensure the protection of State assets and the lawful management of public resources.
