a) Người đại diện theo pháp luật của doanh nghiệp hoặc người được ủy quyền theo quy định của pháp luật;
b) Người đứng đầu cơ quan, tổ chức có tư cách pháp nhân theo quy định của pháp luật hoặc người được ủy quyền theo quy định của pháp luật;
c) Người đại diện của hộ gia đình, tổ hợp tác, tổ chức khác không có tư cách pháp nhân hoặc người được ủy quyền theo quy định của pháp luật;
d) Cá nhân trực tiếp sử dụng lao động.
a) Người lao động từ đủ 18 tuổi trở lên;
b) Người lao động từ đủ 15 tuổi đến chưa đủ 18 tuổi khi có sự đồng ý bằng văn bản của người đại diện theo pháp luật của người đó;
c) Người chưa đủ 15 tuổi và người đại diện theo pháp luật của người đó;

a) Người được đại diện đã công nhận giao dịch;
b) Người được đại diện biết mà không phản đối trong một thời hạn hợp lý;

The following article discusses legal issues concerning who has the authority to enter into an employment contract and whether an employment contract signed by an unauthorized person can be recognized. The article is provided by Tuyet Nhung Bui Law Firm for reference purposes only.

1. Who has the authority to enter into an employment contract?

Regarding the authority to sign employment contracts, Article 18 of the 2019 Labor Code provides as follows:

“Article 18. Authority to enter into employment contracts
1. Employees shall directly enter into employment contracts, except in the cases specified in Clause 2 of this Article.
2. For seasonal work or specific jobs with a duration of less than 12 months, a group of employees aged 18 or older may authorize one employee in the group to enter into an employment contract. In this case, the employment contract must be made in writing and shall have the same effect as a contract entered into with each individual employee.
The employment contract signed by the authorized person must be accompanied by a list specifying the full names, dates of birth, genders, places of residence, and signatures of each employee.
3. The person entering into an employment contract on the employer’s side must fall into one of the following categories:
a) The legal representative of an enterprise or a person authorized in accordance with the law;
b) The head of an agency or organization having legal personality in accordance with the law, or a person authorized in accordance with the law;
c) The representative of a household, cooperative group, or other organization without legal personality, or a person authorized in accordance with the law;
d) An individual who directly employs workers.
4. The person entering into an employment contract on the employee’s side must fall into one of the following categories:
a) An employee aged 18 or older;
b) An employee aged 15 to under 18, with the written consent of their legal representative;
c) A person under 15 and their legal representative;
d) An employee lawfully authorized by the other employees in the group to enter into the employment contract.
5. A person authorized to enter into an employment contract may not re-authorize another person to enter into the employment contract.”

On the employee’s side, as a general rule, the employee directly enters into an employment contract with the employer. However, the law establishes different requirements depending on the employee’s age and the nature of the work.

Employees aged 18 or older may enter into employment contracts on their own and directly exercise the rights and perform the obligations agreed upon. Employees aged 15 to under 18 must obtain the written consent of their legal representative when entering into an employment contract.

Where a person under 15 participates in employment in accordance with the law, the employment contract must be entered into by the person under 15 and their legal representative. Therefore, the employee’s age is one of the factors used to determine who has the authority to enter into an employment contract.

For seasonal work or specific jobs with a duration of less than 12 months, a group of employees aged 18 or older may authorize one member of the group to enter into an employment contract. The contract must be made in writing and accompanied by a list specifying the full names, dates of birth, genders, places of residence, and signatures of each employee. A contract signed by the authorized person shall have the same effect as a contract entered into with each individual employee.

On the employer’s side, not everyone within an enterprise or organization has the authority to sign an employment contract with an employee independently. The person signing the contract must be the legal representative or a person who has been lawfully authorized.

Specifically, the person entering into the contract may be the legal representative of an enterprise, the head of an agency or organization having legal personality, the representative of a household, cooperative group, or organization without legal personality, a person authorized by any of the aforementioned representatives in accordance with the law, or an individual who directly employs workers.

Please note that a person authorized to enter into an employment contract may not re-authorize another person to do so. Therefore, if the legal representative of an enterprise authorizes someone to sign an employment contract, the authorized person must personally carry out the signing and may not further delegate this task to another person.

2. Can an employment contract signed by a person without proper authority be recognized?

As a general rule, if an employment contract is entered into by a person without proper authority, the contract falls within the category of wholly invalid employment contracts.

Point b, Clause 1, Article 49 of the 2019 Labor Code provides:

“Article 49. Invalid employment contracts
1. An employment contract shall be wholly invalid in the following cases:
…
b) The person entering into the employment contract lacks proper authority or violates the principles governing the conclusion of employment contracts prescribed in Clause 1, Article 15 of this Code;”

Accordingly, if the person signing an employment contract on behalf of the employer lacks the authority to do so and has not been validly authorized, this constitutes grounds for the employment contract to be declared wholly invalid.

However, Article 142 of the 2015 Civil Code allows a transaction to give rise to rights and obligations for the represented company if the company has ratified the transaction or knew about its conclusion but did not object within a reasonable period. Specifically, Clause 1, Article 142 provides:

“Article 142. Consequences of civil transactions established and performed by persons without authority to represent
1. A civil transaction established or performed by a person without authority to represent shall not give rise to rights and obligations for the represented person, except in one of the following cases:
a) The represented person has ratified the transaction;
b) The represented person knew about the transaction and did not object within a reasonable period;
c) The represented person was at fault, causing the person who entered into the transaction not to know or be unable to know that the person establishing or performing the civil transaction with them lacked authority to represent the represented person.”

Therefore, not every employment contract signed without proper authority is automatically unrecognizable. In practice, it is also necessary to consider whether the company knew about the signing and whether it subsequently continued to perform the employment contract.

If the person signing the employment contract on behalf of the company lacks authority or has not been validly authorized, but the company’s legal representative knows about the signing and still allows the employee to commence work, assigns duties, manages the employee, pays their salary, and makes social insurance contributions without objection, there may be grounds to consider that the company has accepted the employment contract in practice.

Thus, even if the original employment contract was signed by an unauthorized person, if the legal representative was aware of this and subsequently allowed the contract to continue to be performed, it may be possible to consider that the company has accepted and recognized the employment relationship.

When an employment contract is declared invalid, the employee’s rights, obligations, and interests shall be resolved in accordance with the regulations governing the handling of invalid employment contracts. Specifically, under Article 10 of Decree No. 145/2020/ND-CP, if an employment contract is wholly invalid because it was signed by a person without proper authority, the employee and the employer must first re-enter into an employment contract in compliance with the law.

During the period from the date the employee begins working under the original contract until the new contract is signed, the employee’s rights and benefits shall be determined based on the terms of the signed contract, provided that those terms are not less favorable than the provisions of the law and the applicable collective bargaining agreement. The period during which the employee worked under the invalid contract shall still be counted as working time at the enterprise for the purpose of determining entitlements in accordance with the law.

If the parties do not re-enter into an employment contract, the contract shall be terminated, and the employee’s rights, obligations, and interests shall be resolved in accordance with the regulations governing invalid employment contracts, including consideration of severance allowance where the eligibility requirements are satisfied.
