1. Phân biệt “lạm dụng tín nhiệm chiếm đoạt tài sản” và “tham ô tài sản”

1.1 Khái niệm và căn cứ pháp lý

Tội tham ô tài sản được quy định tại Điều 353 Bộ luật Hình sự năm 2015 (sửa đổi, bổ sung năm 2017, 2025). Đây là hành vi lợi dụng chức vụ, quyền hạn để chiếm đoạt tài sản mà người phạm tội có trách nhiệm quản lý. Tội phạm được cấu thành khi tài sản bị chiếm đoạt có giá trị từ 2.000.000 đồng trở lên, hoặc dưới mức này nhưng thuộc các trường hợp luật định như đã bị xử lý kỷ luật về hành vi này mà còn vi phạm, hoặc đã bị kết án về các tội phạm tham nhũng mà chưa được xóa án tích.

Tội lạm dụng tín nhiệm chiếm đoạt tài sản được quy định tại Điều 175 Bộ luật Hình sự năm 2015 (sửa đổi, bổ sung năm 2017, 2025). Theo đó, đây là hành vi cố ý dịch chuyển trái pháp luật tài sản của người khác thành tài sản của mình. Hành vi này xảy ra sau khi người phạm tội đã nhận được tài sản một cách hợp pháp thông qua vay, mượn, thuê hoặc các hợp đồng dân sự khác, với giá trị tài sản từ 4.000.000 đồng trở lên hoặc dưới mức này nhưng thuộc các trường hợp luật định.

1.2 Về khách thể

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, khách thể bị xâm phạm là quan hệ sở hữu tài sản. Hành vi phạm tội làm thiệt hại trực tiếp đến quyền chiếm hữu, sử dụng và định đoạt tài sản của cá nhân hoặc tổ chức thông qua việc lợi dụng lòng tin trong các quan hệ dân sự, kinh tế hợp pháp.

Đối với tội tham ô tài sản, khách thể bị xâm phạm không chỉ là quan hệ sở hữu tài sản mà còn là hoạt động đúng đắn, uy tín của cơ quan, tổ chức, đặc biệt là cơ quan nhà nước. Do đó, tội tham ô được xếp vào nhóm các tội phạm về tham nhũng và có tính nguy hiểm cao cho xã hội.

1.3 Về mặt khách quan

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, mặt khách quan thể hiện ở việc người phạm tội ban đầu nhận được tài sản một cách hợp pháp thông qua các hình thức như vay, mượn, thuê, gửi giữ hoặc hợp đồng dân sự khác. Tại thời điểm giao nhận tài sản, không tồn tại hành vi gian dối cũng như chưa có ý định chiếm đoạt. Sau đó, người phạm tội mới thực hiện hành vi chiếm đoạt bằng các cách như dùng thủ đoạn gian dối, bỏ trốn, đến hạn trả mặc dù có điều kiện và khả năng nhưng cố tình không trả, hoặc sử dụng tài sản vào mục đích bất hợp pháp dẫn đến không còn khả năng hoàn trả.

Đối với tội tham ô tài sản, mặt khách quan thể hiện ở hành vi lợi dụng chức vụ, quyền hạn để chiếm đoạt hoặc đánh tráo tài sản mà người phạm tội đang quản lý thành tài sản cá nhân. Hành vi này làm mất đi một khối lượng tài sản nhất định của Nhà nước hoặc của cơ quan, tổ chức mà người phạm tội được giao quản lý.

1.4 Về đối tượng tác động

Trong tội tham ô tài sản, đối tượng tác động là tài sản do chính người phạm tội quản lý, thường là tài sản thuộc sở hữu của Nhà nước, cơ quan hoặc tổ chức.

Ngược lại, trong tội lạm dụng tín nhiệm chiếm đoạt tài sản, đối tượng tác động là tài sản do người khác quản lý, có thể là tài sản của cá nhân, tổ chức hoặc Nhà nước, được giao cho người phạm tội thông qua các quan hệ dân sự hợp pháp.

1.5 Về mặt chủ quan

Cả hai tội danh đều được thực hiện với lỗi cố ý trực tiếp. Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, ban đầu người phạm tội có ý định thực hiện đúng nghĩa vụ khi giao kết hợp đồng, nhưng sau khi nhận được tài sản hợp pháp thì mới phát sinh ý định chiếm đoạt, với mục đích chiếm đoạt tài sản phục vụ lợi ích cá nhân; động cơ thường xuất phát từ lòng tham hoặc khó khăn về kinh tế. Đối với tội tham ô tài sản, người phạm tội nhận thức rõ hành vi chiếm đoạt tài sản do mình quản lý là trái pháp luật nhưng vẫn mong muốn thực hiện nhằm thu lợi cá nhân, động cơ chủ yếu là tư lợi, tham lam.

1.6 Về chủ thể

Chủ thể của tội lạm dụng tín nhiệm chiếm đoạt tài sản là người từ đủ 16 tuổi trở lên, có năng lực trách nhiệm hình sự và được giao tài sản một cách hợp pháp thông qua các quan hệ hợp đồng hoặc giao dịch dân sự. Trong khi đó, chủ thể của tội tham ô tài sản cũng phải từ đủ 16 tuổi trở lên, có năng lực trách nhiệm hình sự, nhưng bắt buộc phải là người có chức vụ, quyền hạn và đồng thời là người có trách nhiệm quản lý đối với tài sản mà họ đã chiếm đoạt.

1.7 Về đối tượng tác động

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, đối tượng tác động là tài sản thuộc sở hữu của người khác do chủ sở hữu hoặc người quản lý hợp pháp giao cho người phạm tội trên cơ sở sự tin tưởng, thông qua các quan hệ như vay, mượn, thuê, giữ hộ hoặc các hình thức giao tài sản hợp pháp khác.

Đối với tội tham ô tài sản, đối tượng tác động là tài sản do chính người phạm tội trực tiếp quản lý trong quá trình thực hiện nhiệm vụ, công vụ, bao gồm tài sản thuộc sở hữu của Nhà nước, cơ quan, tổ chức mà người phạm tội có trách nhiệm quản lý.

1.8 Về dấu hiệu phạm tội

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, dấu hiệu phạm tội thể hiện ở hành vi lợi dụng lòng tin của chủ sở hữu hoặc người quản lý hợp pháp để vay, mượn, thuê hoặc nhận tài sản, sau đó dùng thủ đoạn gian dối, bỏ trốn hoặc sử dụng tài sản vào mục đích bất hợp pháp nhằm chiếm đoạt tài sản đã được giao.

Đối với tội tham ô tài sản, dấu hiệu phạm tội được xác định qua hành vi lợi dụng chức vụ, quyền hạn được giao để chiếm đoạt tài sản do mình quản lý, như đánh tráo, chuyển dịch trái phép hoặc biến tài sản của Nhà nước, cơ quan, tổ chức thành tài sản cá nhân, gây thất thoát một khối lượng tài sản nhất định.

2. Giữ tiền khách hàng không nộp lại Công ty bị xử lý ra sao?

2.1 Về trách nhiệm dân sự

Trước hết, người có hành vi chiếm giữ tiền của khách hàng phải:

– Hoàn trả toàn bộ số tiền đã chiếm giữ cho công ty;

– Bồi thường thiệt hại phát sinh (nếu có);

– Có thể bị chấm dứt hợp đồng, xử lý kỷ luật hoặc chịu các chế tài dân sự khác theo nội dung hợp đồng đã ký kết.

2.2 Về trách nhiệm hình sự

Trong trường hợp hành vi nhận tiền của khách hàng rồi chiếm giữ, không nộp lại có đủ dấu hiệu cấu thành tội phạm, người thực hiện hành vi có thể bị truy cứu trách nhiệm hình sự về tội “Tham ô tài sản” theo Điều 353 Bộ luật hình sự; hoặc tội “Lạm dụng tín nhiệm chiếm đoạt tài sản” theo Điều 175 Bộ luật hình sự.

Cụ thể, việc định tội danh trong các trường hợp này phụ thuộc vào các yếu tố sau:

Thứ nhất, quan hệ pháp lý giữa các bên. Cần xác định giữa người thực hiện hành vi và công ty tồn tại quan hệ lao động hay chỉ là quan hệ dịch vụ. Đây là tiêu chí quan trọng để làm rõ người thực hiện hành vi có được coi là người có chức vụ, quyền hạn trong doanh nghiệp hay không.

Thứ hai, cách thức người vi phạm được giao tiền. Việc tiền được giao cho người thực hiện hành vi để quản lý, giữ hộ, hay chỉ là thực hiện dịch vụ thu hộ có ý nghĩa quyết định trong việc đánh giá phạm vi trách nhiệm và tính chất chiếm đoạt.

Thứ ba, giá trị tài sản bị chiếm đoạt. Giá trị tài sản không chỉ là căn cứ để xác định mức độ nguy hiểm của hành vi, mà còn ảnh hưởng trực tiếp đến khung hình phạt áp dụng theo quy định của pháp luật hình sự.

Thứ tư, ý thức chiếm đoạt và hành vi của người vi phạm sau khi chiếm giữ tài sản. Việc người thực hiện hành vi có cố ý không nộp lại tiền, bỏ việc, cắt liên lạc, tiêu xài cá nhân hay có hành vi che giấu, kéo dài thời gian hoàn trả… là những dấu hiệu quan trọng để xác định mục đích chiếm đoạt.

Như vậy, hành vi nhận tiền của khách hàng rồi chiếm giữ, không nộp lại trước hết là hành vi vi phạm nghĩa vụ dân sự, buộc người vi phạm phải hoàn trả tiền, bồi thường thiệt hại và chịu các chế tài theo hợp đồng đã giao kết. Trường hợp hành vi có đủ dấu hiệu cấu thành tội phạm, người thực hiện còn có thể bị truy cứu trách nhiệm hình sự.

1. Distinguishing “Abuse of Trust to Appropriate Property” and “Embezzlement of Property”

1.1. Concepts and Legal Grounds

The crime of embezzlement of property is prescribed in Article 353 of the 2015 Criminal Code (as amended and supplemented in 2017 and 2025). This offense involves taking advantage of one’s position and authority to appropriate property for which the offender is responsible for management. The crime is constituted when the value of the appropriated property is VND 2,000,000 or more, or below this threshold but falling under statutory circumstances, such as having previously been disciplined for the same conduct or having prior convictions for corruption-related offenses that have not yet been expunged.

The crime of abuse of trust to appropriate property is stipulated in Article 175 of the 2015 Criminal Code (as amended and supplemented in 2017 and 2025). This offense refers to the intentional unlawful conversion of another person’s property into one’s own. The conduct occurs after the offender has lawfully obtained the property through borrowing, lending, leasing, or other civil contracts, with a property value of VND 4,000,000 or more, or below this threshold but falling under statutory circumstances.

1.2. Protected Legal Interests (Objects of Protection)

For the crime of abuse of trust to appropriate property, the protected legal interest infringed upon is property ownership relations. The offense directly infringes upon the rights to possession, use, and disposition of property belonging to individuals or organizations by exploiting trust established in lawful civil or economic relations.

For the crime of embezzlement of property, the infringed interests extend beyond property ownership relations to include the proper functioning and credibility of agencies and organizations, particularly state agencies. Accordingly, embezzlement is classified as a corruption-related crime and poses a high degree of danger to society.

1.3. Objective Elements

With respect to abuse of trust to appropriate property, the objective element is manifested in the fact that the offender initially lawfully receives the property through borrowing, lending, leasing, safekeeping, or other civil transactions. At the time of receipt, there is no deception or intent to appropriate. Subsequently, the offender commits acts of appropriation by deceptive means, absconding, deliberately failing to return the property despite having the ability and conditions to do so, or using the property for unlawful purposes resulting in the inability to return it.

In the case of embezzlement of property, the objective element is demonstrated by acts of taking advantage of one’s position and authority to appropriate or substitute property under one’s management for personal use. Such conduct results in the loss of a certain amount of property belonging to the State or to the agency or organization entrusted to the offender’s management.

1.4. Subject Matter of the Offense

For embezzlement of property, the subject matter is the property directly managed by the offender, typically belonging to the State, an agency, or an organization.

Conversely, for abuse of trust to appropriate property, the subject matter is property managed by another person, which may belong to an individual, an organization, or the State, and is transferred to the offender through lawful civil relations.

1.6. Subjective Elements

Both offenses are committed with direct intent. In abuse of trust to appropriate property, the offender initially intends to perform contractual obligations properly, but after lawfully receiving the property, develops the intent to appropriate it for personal benefit, often motivated by greed or financial difficulty. In embezzlement of property, the offender is fully aware that the appropriation of property under their management is unlawful, yet deliberately commits the act for personal gain, primarily driven by self-interest and greed.

1.7. Offenders (Subjects of the Crime)

The offender of abuse of trust to appropriate property is any person aged 16 or older, with full criminal liability capacity, who lawfully receives property through contracts or civil transactions. In contrast, the offender of embezzlement of property must also be aged 16 or older and have criminal liability capacity, but must additionally be a person holding a position and authority and be responsible for managing the appropriated property.

1.8. Subject Matter of the Offense (Further Clarification)

For abuse of trust to appropriate property, the subject matter is property belonging to others, transferred to the offender by the owner or lawful manager based on trust through borrowing, lending, leasing, safekeeping, or other lawful means.

For embezzlement of property, the subject matter is property directly managed by the offender in the course of performing assigned duties or official tasks, including property belonging to the State, agencies, or organizations.

1.9. Constituent Elements of the Crime

For abuse of trust to appropriate property, the offense is characterized by exploiting the trust of the owner or lawful manager to receive property, followed by deceptive acts, absconding, or unlawful use of the property to appropriate it.

For embezzlement of property, the offense is established through acts of abusing assigned position and authority to appropriate property under one’s management, such as unlawfully substituting, transferring, or converting property of the State, agencies, or organizations into personal property, causing a certain degree of asset loss.

2. How Is the Act of Retaining Customers’ Money Without Remitting It to the Company Handled?

2.1. Civil Liability

First and foremost, a person who unlawfully retains customers’ money must:

+ Return the full amount of money unlawfully retained to the company;

+ Compensate for any damages incurred (if any);

+ Be subject to termination of the contract, disciplinary measures, or other civil sanctions in accordance with the signed contract.

2.2. Criminal Liability

Where the act of receiving customers’ money and then retaining it without remittance constitutes a criminal offense, the offender may be subject to criminal prosecution for “Embezzlement of Property” under Article 353 of the Criminal Code, or “Abuse of Trust to Appropriate Property” under Article 175 of the Criminal Code.

Specifically, the determination of the applicable offense depends on the following factors:

First, the legal relationship between the parties. It must be determined whether a labor relationship or merely a service relationship exists between the offender and the company. This is a key criterion in assessing whether the offender is considered a person holding a position or authority within the enterprise.

Second, the manner in which the money was entrusted. Whether the money was assigned to the offender for management, safekeeping, or merely for collection as part of a service is decisive in evaluating the scope of responsibility and the nature of the appropriation.

Third, the value of the appropriated property, which not only reflects the degree of danger of the conduct but also directly affects the applicable criminal penalty framework.

Fourth, the intent to appropriate and the offender’s conduct after retaining the property. Acts such as deliberately failing to remit the money, abandoning work, cutting off communication, using the money for personal purposes, concealing the conduct, or intentionally delaying repayment are important indicators in determining the intent to appropriate.

Accordingly, the act of receiving customers’ money and retaining it without remittance first constitutes a breach of civil obligations, requiring the offender to return the money, compensate for damages, and bear contractual sanctions. Where the act satisfies the elements of a criminal offense, the offender may also be subject to criminal liability under the applicable provisions of criminal law.
