1. Hợp đồng vay tài sản là gì?
Theo quy định tại Điều 463 Bộ luật Dân sự 2015, hợp đồng vay tài sản là sự thỏa thuận giữa các bên, theo đó bên cho vay giao tài sản cho bên vay; khi đến hạn trả, bên vay phải hoàn trả cho bên cho vay tài sản cùng loại theo đúng số lượng, chất lượng và chỉ phải trả lãi nếu có thỏa thuận hoặc pháp luật có quy định.
Nói cách khác, hợp đồng vay tài sản là căn cứ pháp lý làm phát sinh quyền và nghĩa vụ của các bên trong quan hệ vay mượn.
– Bên cho vay có quyền yêu cầu bên vay hoàn trả đúng hạn.
– Bên vay được quyền sử dụng tài sản trong thời gian vay nhưng phải đảm bảo nghĩa vụ trả lại khi đến hạn.
2. Vay chung một khoản tiền, một người bỏ trốn ai phải trả?
Trong thực tế, việc nhiều người cùng vay chung một khoản tiền khá phổ biến, đặc biệt trong các mối quan hệ bạn bè, người thân hoặc góp vốn làm ăn. Tuy nhiên, không ít trường hợp một người trong nhóm vay bỏ trốn, khiến việc trả nợ trở nên phức tạp. Vậy trong trường hợp này, ai sẽ là người phải chịu trách nhiệm thanh toán?
Theo quy định tại Điều 288 Bộ luật Dân sự 2015, đây là nghĩa vụ liên đới – tức là nghĩa vụ do nhiều người cùng phải thực hiện, và bên có quyền (chủ nợ) có thể yêu cầu bất kỳ ai trong số họ thực hiện toàn bộ nghĩa vụ. Điều này có nghĩa, dù một người đã bỏ trốn, chủ nợ vẫn có thể yêu cầu những người còn lại thanh toán toàn bộ khoản nợ, không cần chờ người bỏ trốn quay lại.
Sau khi đã thực hiện nghĩa vụ thay, người trả nợ có quyền yêu cầu người bỏ trốn hoàn trả lại phần nghĩa vụ thuộc về họ theo khoản 2 Điều 288.
Trong trường hợp chủ nợ chỉ định một người trong nhóm vay thực hiện toàn bộ nghĩa vụ, nhưng sau đó miễn cho người này, thì theo khoản 3 Điều 288, tất cả những người còn lại cũng được miễn nghĩa vụ. Tuy nhiên, nếu chủ nợ chỉ miễn phần nghĩa vụ của một người mà không miễn toàn bộ khoản vay, thì những người còn lại vẫn phải liên đới trả phần còn lại.
Như vậy, trong trường hợp vay chung, mọi người đều phải chịu trách nhiệm như nhau với chủ nợ. Việc một người bỏ trốn không làm mất đi nghĩa vụ trả nợ của những người còn lại. Chủ nợ có thể yêu cầu bất kỳ ai trong nhóm vay thanh toán, và sau đó người trả thay có quyền đòi lại phần nợ từ người trốn tránh.
Tóm lại, khi vay chung, dù một người bỏ trốn, các thành viên còn lại vẫn phải trả toàn bộ khoản nợ cho chủ nợ. Sau đó, họ có quyền truy đòi nội bộ để đảm bảo công bằng, tránh bị thiệt hại. Đây là nguyên tắc nhằm bảo vệ quyền của chủ nợ và đảm bảo sự minh bạch trong giao dịch dân sự.
3. Bên cho vay cần lưu ý gì khi giao tài sản cho bên vay?
Theo Điều 465 Bộ luật Dân sự 2015, bên cho vay có ba nghĩa vụ cơ bản cần lưu ý.
Thứ nhất, bên cho vay phải giao tài sản đầy đủ, đúng chất lượng, số lượng và đúng thời điểm, địa điểm đã thỏa thuận. Đây là nghĩa vụ quan trọng, thể hiện sự tuân thủ cam kết giữa các bên. Nếu bên cho vay giao thiếu, giao chậm hoặc sai loại tài sản, bên vay có quyền từ chối nhận hoặc yêu cầu khắc phục.
Thứ hai, bên cho vay phải bồi thường thiệt hại nếu biết tài sản không bảo đảm chất lượng mà vẫn giao cho bên vay mà không thông báo. Trừ trường hợp bên vay biết rõ tình trạng nhưng vẫn đồng ý nhận, bên cho vay sẽ phải chịu trách nhiệm về mọi thiệt hại phát sinh. Quy định này nhằm bảo vệ quyền lợi chính đáng của bên vay, đảm bảo tính trung thực và minh bạch trong giao dịch.
Thứ ba, bên cho vay không được yêu cầu bên vay trả lại tài sản trước hạn, trừ trường hợp đặc biệt được quy định tại Điều 470 Bộ luật Dân sự 2015:
– Đối với hợp đồng vay có kỳ hạn và có lãi, bên vay được quyền trả nợ trước hạn, nhưng phải trả đủ toàn bộ tiền lãi theo kỳ hạn, trừ khi các bên có thỏa thuận khác hoặc pháp luật có quy định khác.
Ngoài ra, trong một số trường hợp, luật chuyên ngành khác cũng có thể quy định riêng về việc thực hiện hoặc chấm dứt nghĩa vụ vay trước hạn.
Tóm lại, khi giao tài sản, bên cho vay cần tuân thủ đúng cam kết, trung thực về chất lượng và tôn trọng thời hạn vay, để tránh phát sinh tranh chấp và bảo đảm hiệu lực của hợp đồng.
4. Đến hạn không trả nợ, bên vay phải chịu trách nhiệm thế nào?
Theo Điều 466 Bộ luật Dân sự 2015, nghĩa vụ trả nợ đúng hạn là một trong những nghĩa vụ cơ bản của bên vay trong quan hệ vay tài sản. Khi đến hạn mà bên vay không thực hiện đúng cam kết, họ không chỉ phải trả lại khoản nợ gốc mà còn có thể phát sinh thêm nghĩa vụ tài chính khác. Cụ thể:
“Điều 466. Nghĩa vụ trả nợ của bên vay
1. Bên vay tài sản là tiền thì phải trả đủ tiền khi đến hạn; nếu tài sản là vật thì phải trả vật cùng loại đúng số lượng, chất lượng, trừ trường hợp có thỏa thuận khác.
2. Trường hợp bên vay không thể trả vật thì có thể trả bằng tiền theo trị giá của vật đã vay tại địa điểm và thời điểm trả nợ, nếu được bên cho vay đồng ý.
3. Địa điểm trả nợ là nơi cư trú hoặc nơi đặt trụ sở của bên cho vay, trừ trường hợp có thỏa thuận khác.
4. Trường hợp vay không có lãi mà khi đến hạn bên vay không trả nợ hoặc trả không đầy đủ thì bên cho vay có quyền yêu cầu trả tiền lãi với mức lãi suất theo quy định tại khoản 2 Điều 468 của Bộ luật này trên số tiền chậm trả tương ứng với thời gian chậm trả, trừ trường hợp có thỏa thuận khác hoặc luật có quy định khác.
5. Trường hợp vay có lãi mà khi đến hạn bên vay không trả hoặc trả không đầy đủ thì bên vay phải trả lãi như sau:
a) Lãi trên nợ gốc theo lãi suất thỏa thuận trong hợp đồng tương ứng với thời hạn vay mà đến hạn chưa trả; trường hợp chậm trả thì còn phải trả lãi theo mức lãi suất quy định tại khoản 2 Điều 468 của Bộ luật này;
b) Lãi trên nợ gốc quá hạn chưa trả bằng 150% lãi suất vay theo hợp đồng tương ứng với thời gian chậm trả, trừ trường hợp có thỏa thuận khác..”
Như vậy,
Thứ nhất, bên vay phải trả đủ tiền hoặc tài sản đúng loại, đúng số lượng và chất lượng như đã thỏa thuận. Trường hợp vay bằng vật mà không thể hoàn trả đúng loại, người vay có thể trả bằng tiền tương đương giá trị của vật tại thời điểm và địa điểm trả nợ, nhưng phải được bên cho vay đồng ý. Điều này đảm bảo quyền lợi cho bên cho vay và tính công bằng trong giao dịch.
Thứ hai, về địa điểm trả nợ, pháp luật quy định là nơi cư trú hoặc trụ sở của bên cho vay, trừ khi các bên có thỏa thuận khác. Đây là cơ sở để xác định nơi thực hiện nghĩa vụ, tránh tranh chấp khi thực hiện hợp đồng.
Thứ ba, nếu vay không có lãi mà đến hạn không trả hoặc trả không đầy đủ, theo khoản 4 Điều 466, bên cho vay có quyền yêu cầu người vay trả thêm tiền lãi trên số tiền chậm trả, với mức lãi suất theo quy định tại khoản 2 Điều 468 của BLDS trên số tiền chậm trả tương ứng với thời gian chậm trả, trừ trường hợp có thỏa thuận khác hoặc luật chuyên ngành quy định riêng.
Thứ tư, nếu vay có lãi mà đến hạn không trả hoặc trả không đầy đủ, bên vay phải chịu hai loại lãi:
– Lãi trên nợ gốc theo lãi suất đã thỏa thuận tương ứng với thời gian vay chưa trả;
– Lãi trên nợ gốc quá hạn bằng 150% lãi suất vay theo hợp đồng, tính trên thời gian chậm trả, trừ trường hợp các bên có thỏa thuận khác.
Từ những quy định trên, có thể thấy rằng việc không trả nợ đúng hạn không chỉ làm ảnh hưởng đến uy tín và quan hệ dân sự giữa các bên mà còn khiến bên vay phát sinh thêm nghĩa vụ tài chính, như trả lãi chậm trả hoặc lãi quá hạn. Do đó, bên vay cần chủ động thực hiện nghĩa vụ trả nợ đúng thời hạn hoặc thỏa thuận lại với bên cho vay trong trường hợp gặp khó khăn, tránh để tranh chấp phát sinh và bị xử lý bất lợi theo quy định pháp luật.

1. What is a loan agreement?
According to Article 463 of the Civil Code 2015, a loan agreement is an agreement between the parties, whereby the lender transfers assets to the borrower; when the repayment is due, the borrower must return to the lender the same type of assets in the correct quantity and quality, and must only pay interest if there is an agreement or if the law provides for it.
In other words, a loan agreement is the legal basis that generates the rights and obligations of the parties in the borrowing relationship.
The lender has the right to require the borrower to repay on time.
The borrower has the right to use the assets during the loan period but must ensure the obligation to return them when due.
2. If multiple people borrow the same amount of money and one person runs away, who is responsible for repayment?
In practice, it is quite common for multiple people to borrow the same amount of money, especially in relationships among friends, relatives, or for business investments. However, there are many cases where one person in the borrowing group runs away, complicating the repayment process. So in this case, who will be responsible for the payment?
According to Article 288 of the Civil Code 2015, this is a joint obligation – meaning an obligation that multiple people must fulfill, and the creditor can require any of them to fulfill the entire obligation. This means that even if one person has run away, the creditor can still demand that the remaining individuals pay the entire debt without waiting for the runaway person to return.
After fulfilling the obligation on behalf of the borrower, the person who repaid has the right to request the runaway person to reimburse them for the part of the obligation that belongs to them according to Clause 2 of Article 288.
In the case where the creditor designates one person in the borrowing group to fulfill the entire obligation but later exempts this person, then according to Clause 3 of Article 288, all remaining individuals are also exempt from the obligation. However, if the creditor only exempts one person’s obligation without exempting the entire loan amount, the remaining individuals still have to jointly repay the remaining part.
Thus, in the case of joint borrowing, everyone is equally responsible to the creditor. The fact that one person runs away does not eliminate the repayment obligation of the remaining individuals. The creditor can demand payment from any member of the borrowing group, and afterward, the person who paid on behalf of others has the right to reclaim their share of the debt from the person who evaded payment.
In summary, when borrowing jointly, even if one person runs away, the remaining members still have to repay the entire debt to the creditor. They then have the right to internally reclaim to ensure fairness and avoid losses. This is a principle aimed at protecting the rights of the creditor and ensuring transparency in civil transactions.

3. What should the lender pay attention to when handing over assets to the borrower?
According to Article 465 of the Civil Code 2015, the lender has three basic obligations to pay attention to.
First, the lender must deliver the assets fully, of the correct quality, quantity, and at the agreed time and place. This is an important obligation that reflects compliance with the commitments between the parties. If the lender delivers insufficiently, late, or the wrong type of asset, the borrower has the right to refuse to accept or request rectification.
Second, the lender must compensate for damages if they know the asset does not guarantee quality but still deliver it to the borrower without informing them. Except in cases where the borrower is fully aware of the condition but still agrees to accept, the lender will be responsible for all damages incurred. This regulation aims to protect the legitimate rights of the borrower, ensuring honesty and transparency in transactions.
Third, the lender cannot demand the borrower return the assets early, except in special cases specified in Article 470 of the Civil Code 2015:
– For contracts with a term and no interest, the borrower can return the assets at any time but must notify the lender in a reasonable time. Meanwhile, the lender can only reclaim the assets early if agreed upon by the borrower, ensuring fairness and stability in the borrowing relationship.
Additionally, in some cases, other specialized laws may also provide specific regulations regarding the performance or termination of early borrowing obligations.
In summary, when handing over assets, the lender needs to strictly adhere to commitments, be honest about quality, and respect the borrowing term to avoid disputes and ensure the validity of the contract.
4. What responsibilities does the borrower have if they do not repay on time?
According to Article 466 of the Civil Code 2015, the obligation to repay on time is one of the basic obligations of the borrower in the borrowing relationship. When the due date arrives and the borrower does not fulfill the commitment, they not only have to repay the principal amount but may also incur additional financial obligations. Specifically:
“Article 466. Obligation to repay of the borrower
1. If the borrowed asset is money, the borrower must repay the full amount when due; if the asset is a physical item, the borrower must return the same type of item in the correct quantity and quality, unless otherwise agreed.
2. In the event that the borrower cannot return the item, they may repay in cash based on the value of the borrowed item at the location and time of repayment, if agreed by the lender.
3. The repayment location is the residence or the registered office of the lender, unless otherwise agreed.
4. In the case of a loan without interest, if the borrower does not repay or does not fully repay at maturity, the lender has the right to request interest on the delayed payment at the interest rate specified in Clause 2, Article 468 of this Code on the amount of delayed payment corresponding to the duration of the delay, unless otherwise agreed or provided by law.
5. In the case of a loan with interest, if the borrower does not repay or does not fully repay at maturity, the borrower must pay interest as follows:
a) Interest on the principal debt at the interest rate agreed in the contract corresponding to the loan term that has not been repaid; in the case of delayed repayment, additional interest must be paid at the interest rate specified in Clause 2, Article 468 of this Code;
b) Interest on the overdue principal not repaid at 150% of the interest rate on the loan according to the contract corresponding to the duration of the delay, unless otherwise agreed.”
Thus,
First, the borrower must repay the full amount or asset of the correct type, quantity, and quality as agreed. In cases of borrowing physical items and being unable to return the same type, the borrower may repay in cash equivalent to the value of the item at the time and place of repayment, but must have the lender’s consent. This ensures the lender’s rights and fairness in the transaction.
Second, regarding the repayment location, the law stipulates it is the residence or headquarters of the lender, unless the parties have agreed otherwise. This serves as a basis for determining where the obligation is fulfilled, avoiding disputes during contract execution.
Third, if a loan is interest-free and the borrower does not repay by the due date or repays insufficiently, according to Clause 4 of Article 466, the lender has the right to request the borrower to pay additional interest on the overdue amount, at the interest rate specified in Clause 2 of Article 468 of the Civil Code on the overdue amount corresponding to the duration of the delay, unless there is a different agreement or specific regulations in specialized laws.
Fourth, if the loan is interest-bearing and the borrower does not repay or repays insufficiently at the due date, the borrower must bear two types of interest:
– Interest on the principal amount at the agreed interest rate corresponding to the period of borrowing that has not been repaid;
From these regulations, it can be seen that failing to repay on time not only affects the reputation and civil relationship between the parties but also incurs additional financial obligations for the borrower, such as paying late interest or overdue interest. Therefore, the borrower needs to proactively fulfill their repayment obligations on time or renegotiate with the lender.
