1. Phân biệt “lừa đảo chiếm đoạt tài sản” và “lạm dụng tín nhiệm chiếm đoạt tài sản”

1.1. Căn cứ pháp lý

Tội lừa đảo chiếm đoạt tài sản được quy định tại Điều 174 Bộ luật Hình sự năm 2015 (sửa đổi, bổ sung năm 2017, 2025). Theo đó, người nào dùng thủ đoạn gian dối để chiếm đoạt tài sản của người khác trị giá từ 2.000.000 đồng đến dưới 50.000.000 đồng, hoặc dưới 2.000.000 đồng nhưng thuộc các trường hợp luật định (đã bị xử phạt vi phạm hành chính về hành vi chiếm đoạt tài sản mà còn vi phạm; đã bị kết án về tội này hoặc các tội quy định tại các điều 168, 169, 170, 171, 172, 173, 175 và 290 của Bộ luật Hình sự mà chưa được xóa án tích; gây ảnh hưởng xấu đến an ninh, trật tự, an toàn xã hội; hoặc tài sản bị chiếm đoạt là phương tiện kiếm sống chính của người bị hại và gia đình họ) thì bị truy cứu trách nhiệm hình sự. Tùy tính chất, mức độ, người phạm tội có thể bị phạt cải tạo không giam giữ hoặc phạt tù theo các khung hình phạt tương ứng.

Tội lạm dụng tín nhiệm chiếm đoạt tài sản được quy định tại Điều 175 Bộ luật Hình sự năm 2015 (sửa đổi, bổ sung năm 201, 2025). Theo quy định này, người nào vay, mượn, thuê tài sản hoặc nhận tài sản thông qua hợp đồng, sau đó dùng thủ đoạn gian dối, bỏ trốn để chiếm đoạt, hoặc đến hạn trả dù có điều kiện, khả năng nhưng cố tình không trả, hoặc sử dụng tài sản vào mục đích bất hợp pháp dẫn đến không còn khả năng trả lại, thì bị coi là phạm tội nếu tài sản chiếm đoạt có giá trị từ 4.000.000 đồng đến dưới 50.000.000 đồng;

Trường hợp tài sản dưới 4.000.000 đồng thì vẫn bị truy cứu trách nhiệm hình sự nếu người đó đã từng bị xử phạt vi phạm hành chính về hành vi chiếm đoạt tài sản, hoặc đã bị kết án về tội này hay một trong các tội quy định tại các điều 168, 169, 170, 171, 172, 173, 174 và 290 của Bộ luật Hình sự mà chưa được xóa án tích, hoặc tài sản bị chiếm đoạt là phương tiện kiếm sống chính của người bị hại và gia đình họ.

Tùy theo tính chất, mức độ hành vi phạm tội, người phạm tội có thể bị phạt cải tạo không giam giữ hoặc phạt tù theo các khung hình phạt mà pháp luật quy định.

1.2. Về khách thể

Đối với tội lừa đảo chiếm đoạt tài sản, hành vi phạm tội xâm phạm đến quan hệ sở hữu về tài sản, làm cho chủ sở hữu hoặc người quản lý hợp pháp mất khả năng chiếm hữu, sử dụng, định đoạt tài sản trên thực tế, và tài sản bị dịch chuyển trái pháp luật sang cho người phạm tội.

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, khách thể cũng là quan hệ sở hữu về tài sản. Hành vi phạm tội làm thiệt hại quyền sở hữu của người khác thông qua việc lợi dụng sự tín nhiệm trong quan hệ dân sự để chiếm đoạt tài sản.

1.3. Về mặt khách quan

Đối với tội lừa đảo chiếm đoạt tài sản, mặt khách quan thể hiện ở hai hành vi gắn liền với nhau là hành vi gian dối và hành vi chiếm đoạt tài sản. Trong đó, hành vi gian dối phải được thực hiện trước hoặc trong thời điểm giao nhận tài sản, bằng việc cố ý đưa ra thông tin không đúng sự thật (bằng lời nói, hành động, giấy tờ…) nhằm làm cho người có tài sản tin là thật và tự nguyện giao tài sản. Chính hành vi gian dối này là nguyên nhân trực tiếp dẫn đến việc chiếm đoạt. Tội phạm được coi là hoàn thành ngay khi tài sản được giao.

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, người phạm tội nhận được tài sản một cách hợp pháp thông qua các quan hệ dân sự như vay, mượn, thuê, gửi giữ hoặc hợp đồng khác. Tại thời điểm giao nhận tài sản không có hành vi gian dối và cũng chưa có ý định chiếm đoạt. Sau đó, người phạm tội mới thực hiện hành vi chiếm đoạt thông qua một trong các cách: dùng thủ đoạn gian dối để chiếm đoạt; bỏ trốn; đến hạn có điều kiện, khả năng nhưng cố tình không trả; hoặc sử dụng tài sản vào mục đích bất hợp pháp dẫn đến không còn khả năng trả lại tài sản.

1.4. Về hậu quả và mối quan hệ nhân quả

Đối với tội lừa đảo chiếm đoạt tài sản, hậu quả là thiệt hại về tài sản cho người bị hại và có thể gây ảnh hưởng xấu đến trật tự, an toàn xã hội. Mối quan hệ nhân quả thể hiện rõ ở việc chính hành vi gian dối là nguyên nhân trực tiếp khiến người bị hại giao tài sản và dẫn đến thiệt hại.

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, hậu quả cũng là thiệt hại về tài sản. Mối quan hệ nhân quả thể hiện ở việc tài sản đã được giao hợp pháp, nhưng chính các hành vi sau đó của người phạm tội (gian dối, bỏ trốn, không trả, sử dụng trái phép…) là nguyên nhân trực tiếp dẫn đến thiệt hại.

1.5. Về mặt chủ quan

Đối với tội lừa đảo chiếm đoạt tài sản, người phạm tội thực hiện hành vi với lỗi cố ý trực tiếp, nhận thức rõ thông tin mình đưa ra là giả, thấy trước hậu quả gây thiệt hại về tài sản nhưng vẫn mong muốn người khác tin và giao tài sản. Mục đích chiếm đoạt tài sản đã hình thành trước khi nhận tài sản.

Đối với tội lạm dụng tín nhiệm chiếm đoạt tài sản, người phạm tội cũng thực hiện với lỗi cố ý trực tiếp và mục đích chiếm đoạt tài sản, nhưng ý định chiếm đoạt chỉ phát sinh sau khi đã nhận tài sản hợp pháp, thường do hoàn cảnh kinh tế khó khăn, lòng tham hoặc sự sa sút về ý thức đạo đức.

1.6. Về chủ thể

Cả hai tội danh đều có chủ thể là người từ đủ 16 tuổi trở lên, có năng lực trách nhiệm hình sự. Người từ đủ 14 tuổi đến dưới 16 tuổi không phải chịu trách nhiệm hình sự về hai tội này trong mọi trường hợp.

2. Vay tiền kinh doanh rồi bỏ trốn có bị coi là lừa đảo?

Trong thực tiễn, không ít trường hợp người vay tiền với mục đích kinh doanh, sau đó không trả nợ và bỏ trốn, khiến người cho vay cho rằng mình đã bị lừa đảo. Tuy nhiên, theo quy định của pháp luật hình sự, không phải cứ vay tiền rồi bỏ trốn là đương nhiên cấu thành tội lừa đảo chiếm đoạt tài sản. Việc định tội danh cần được xem xét một cách thận trọng, toàn diện, dựa trên bản chất của quan hệ vay tài sản và thời điểm hình thành ý định chiếm đoạt.

Trước hết, cần khẳng định rằng quan hệ vay tiền để kinh doanh về bản chất là quan hệ dân sự hợp pháp. Khi người cho vay tự nguyện giao tiền cho người vay trên cơ sở tin tưởng, không xuất phát từ việc bị lừa dối bằng thông tin giả, thì tại thời điểm giao nhận tài sản, hành vi này chưa mang dấu hiệu của tội lừa đảo. Trong trường hợp người vay thực sự có hoạt động kinh doanh, đã từng trả nợ hoặc không có biểu hiện gian dối ngay từ đầu, thì việc không trả nợ và bỏ trốn sau đó không làm thay đổi bản chất hợp pháp ban đầu của việc vay tiền.

Chỉ khi có căn cứ chứng minh rằng ngay từ thời điểm vay, người vay đã cố ý đưa ra thông tin gian dối như giả mạo dự án kinh doanh, bịa đặt năng lực tài chính, che giấu hoàn toàn tình trạng không có khả năng trả nợ, với mục đích làm cho người cho vay tin tưởng và giao tiền, thì hành vi vay tiền rồi bỏ trốn mới có thể bị xem xét là tội lừa đảo chiếm đoạt tài sản theo Điều 174 Bộ luật Hình sự. 

Ngược lại, nếu người vay chỉ phát sinh ý định chiếm đoạt sau khi đã nhận tiền hợp pháp, do kinh doanh thua lỗ, mất khả năng thanh toán, hoặc do lòng tham, sa sút về ý thức đạo đức mà dẫn đến hành vi bỏ trốn, cố tình không trả nợ hoặc dùng thủ đoạn gian dối sau khi vay, thì hành vi này không cấu thành tội lừa đảo, mà có thể bị xử lý về tội lạm dụng tín nhiệm chiếm đoạt tài sản theo Điều 175 Bộ luật Hình sự, nếu đáp ứng đủ các điều kiện luật định về giá trị tài sản và dấu hiệu pháp lý.

Như vậy, có thể khẳng định rằng vay tiền kinh doanh rồi bỏ trốn không mặc nhiên bị coi là lừa đảo. Việc xác định tội danh phụ thuộc chủ yếu vào việc ý định chiếm đoạt xuất hiện trước hay sau thời điểm vay tiền, cũng như có hay không hành vi gian dối tại thời điểm giao tài sản.

1. Distinguishing “Fraudulent Appropriation of Property” and “Misappropriation of Property through Abuse of Trust”

1.1. Legal basis

The crime of fraudulent appropriation of property is stipulated in Article 174 of the 2015 Penal Code (as amended and supplemented in 2017). Accordingly, any person who uses deceitful means to appropriate another person’s property valued from VND 2,000,000 to under VND 50,000,000, or under VND 2,000,000 but falling into cases prescribed by law (having previously been administratively sanctioned for property appropriation but reoffending; having been convicted of this crime or crimes under Articles 168, 169, 170, 171, 172, 173, 175 and 290 of the Penal Code without having their criminal record expunged; causing adverse impacts on security, order and social safety; or where the appropriated property is the primary means of livelihood of the victim and their family), shall bear criminal liability. Depending on the nature and severity of the offense, the offender may be subject to non-custodial reform or imprisonment under the corresponding penalty frames.

The crime of misappropriation of property through abuse of trust is stipulated in Article 175 of the 2015 Penal Code (as amended and supplemented in 2017). Under this provision, a person who borrows, rents, leases property or receives property under a contract, and then uses deceitful means, absconds to appropriate the property, or upon maturity of the obligation, despite having the conditions and ability to repay, deliberately fails to do so, or uses the property for illegal purposes leading to an inability to return it, shall be deemed to have committed the crime if the appropriated property is valued from VND 4,000,000 to under VND 50,000,000.

Where the value of the property is under VND 4,000,000, criminal liability may still arise if the offender has previously been administratively sanctioned for property appropriation, or has been convicted of this crime or one of the crimes under Articles 168, 169, 170, 171, 172, 173, 174 and 290 of the Penal Code without having their criminal record expunged, or where the appropriated property is the primary means of livelihood of the victim and their family.

Depending on the nature and severity of the criminal act, the offender may be subject to non-custodial reform or imprisonment under the penalty frames prescribed by law.

1.2. Protected legal interests (Object of the crime)

For the crime of fraudulent appropriation of property, the act infringes upon property ownership relations, depriving the owner or lawful manager of the ability to possess, use and dispose of the property in reality, with the property being unlawfully transferred to the offender.

For the crime of misappropriation of property through abuse of trust, the protected legal interest is likewise property ownership. The criminal act harms another person’s ownership rights by taking advantage of trust within a civil relationship to appropriate property.

1.3. Objective aspect

For fraudulent appropriation of property, the objective aspect consists of two closely linked acts: deception and appropriation of property. The deceptive act must occur before or at the time of the transfer of the property, through intentionally providing false information (by words, actions, documents, etc.) to make the property holder believe it to be true and voluntarily hand over the property. This deceptive act is the direct cause of the appropriation. The crime is deemed completed once the property is transferred.

For misappropriation of property through abuse of trust, the offender initially receives the property lawfully through civil relations such as borrowing, leasing, safekeeping, or other contracts. At the time of receipt, there is no deception and no intent to appropriate. Only afterward does the offender commit acts of appropriation through one of the following means: using deceitful methods; absconding; deliberately failing to repay despite having the conditions and ability to do so; or using the property for illegal purposes leading to the inability to return it.

1.4. Consequences and causal relationship

For fraudulent appropriation of property, the consequence is property damage to the victim and potentially adverse impacts on social order and safety. The causal relationship is clearly shown in that the deceptive act is the direct cause leading the victim to hand over the property and suffer damage.

For misappropriation of property through abuse of trust, the consequence is likewise property damage. The causal relationship lies in the fact that although the property was lawfully transferred, it is the offender’s subsequent acts (deception, absconding, failure to repay, illegal use, etc.) that directly cause the damage.

1.5. Subjective aspect

For fraudulent appropriation of property, the offender acts with direct intent, fully aware that the information provided is false, foreseeing the property damage but still wishing the victim to believe it and hand over the property. The intent to appropriate is formed before receiving the property.

For misappropriation of property through abuse of trust, the offender also acts with direct intent and the purpose of appropriating property; however, the intent arises after the lawful receipt of the property, often due to economic hardship, greed, or moral decline.

1.6. Subject of the crime

Both crimes may be committed by persons aged 16 years or older who have full criminal capacity. Persons aged from 14 to under 16 do not bear criminal liability for these two crimes in any circumstances.

2. Borrowing money for business and then absconding: is it fraud?

In practice, there are many cases where a person borrows money for business purposes, later fails to repay and absconds, leading the lender to believe that they have been defrauded. However, under criminal law, borrowing money and then absconding does not automatically constitute the crime of fraudulent appropriation of property. The determination of the offense must be made cautiously and comprehensively, based on the nature of the lending relationship and the timing of the formation of the intent to appropriate.

First, it must be affirmed that a loan for business purposes is, by nature, a lawful civil relationship. Where the lender voluntarily transfers money to the borrower based on trust and not as a result of being deceived by false information, then at the time of transfer, the act does not bear the hallmarks of fraud. If the borrower genuinely conducted business activities, had made repayments in the past, or showed no deceptive conduct from the outset, then the subsequent failure to repay and absconding does not change the original lawful nature of the loan.

Only where there is evidence proving that, at the time of borrowing, the borrower intentionally provided false information—such as fabricating business projects, falsifying financial capacity, or completely concealing their inability to repay—with the purpose of inducing the lender to trust and hand over the money, can the act of borrowing and then absconding be considered fraudulent appropriation of property under Article 174 of the Penal Code.

Conversely, if the borrower only develops the intent to appropriate after lawfully receiving the money—due to business losses, loss of repayment capacity, or due to greed or moral decline—leading to absconding, deliberate non-repayment, or deceptive acts after borrowing, then such conduct does not constitute fraud. Instead, it may be handled as misappropriation of property through abuse of trust under Article 175 of the Penal Code, provided that all statutory conditions regarding the value of the property and legal elements are met.

Thus, it can be affirmed that borrowing money for business and then absconding is not automatically considered fraud. The determination of the offense depends primarily on whether the intent to appropriate arose before or after the borrowing, and whether there was any deceptive conduct at the time the property was transferred.
